was inducted as the additional non-executive director on Sona Comstar’s board in June 2025 after the sudden demise of the company’s chariman and her husband Sunjay Kapur.
Rani Kapur, the former chairperson of Sona Comstar’s and the wife of the company’s founder, on Friday, asked the company’s board in a letter, to postpone its shareholders’ meeting by at least two weeks, alleging coercion and misrepresentation, following her son Sunjay’s demise.
Rani Kapur claimed to be a majority shareholder of the Sona Group, including the company, as per the well of Sona Comster’s founder Surinder Kapur, which was executed on June 30, 2015.
She said she was “coerced into signing such documents” during the period of grieving her son’s death, adding that “some people have chosen this as an opportune time to wrest control and usurp the family legacy.”
She also declared that she had not given consent of officially nominated any person to come on the company’s board or any other Sona Group company after her son’s demise. She also said she did not give consent to any person to represent her in any capacity before the company and or any other Sona Group company.
However, Sona Comstar went ahead with its AGM on Friday, as planned.
It also issued a strong clarification saying Rani Kapur has not been a shareholder of the company at least since 2019 and hence her request to delay the AGM held no legal standing. It also said no documents were signed or obtained from her after Sunjay Kapur’s demise.
The company, which is 71.98% publicly held and 28.02% owned by corporate promoter Aureus Investments Pvt Ltd, also clarified that Priya Sachdev Kapur—wife of Sunjay Kapur—was appointed as an Additional Non-Executive Director based on Aureus Investments’ nomination, and her appointment was vetted by the Nomination and Remuneration Committee.
